  2. .TX1 *** TRUSTS - ADMINISTRATION OF MARITAL FUND TRUST ***********

  5.                 MARITAL TRUST ADMINISTRATION
  6.  
  7. The Marital Fund shall be held as a separate trust known as the 
  8. Marital Trust and administered as follows:
  9.  
  10. ({!PARNO})  Income and Principal.  During my {SPOUSE_HUSBAND/WIFE}'s 
  11. lifetime the Trustee shall pay all the net income from the Marital 
  12. Trust to my {SPOUSE_HUSBAND/WIFE} at least annually.  The Trustee 
  13. also shall pay to my {SPOUSE_HUSBAND/WIFE} such amounts of principal 
  14. as the Trustee may deem necessary for {SPOUSE_HIS/HER} health, 
  15. support and maintenance, with such terms to be liberally construed.  
  16. I suggest, but do not require, that principal distributions for 
  17. these purposes be made first from this Trust rather than from 
  18. the Family Trust.

  20. .TX2 *** TRUSTS - OPTIONAL WITHDRAWAL RIGHTS HEADING *************
  21. ({!PARNO})  In addition to the distributions of principal allowed 
  22. by the foregoing standards, my {SPOUSE_HUSBAND/WIFE} shall also 
  23. have the right to make the following withdrawals from the principal 
  24. of the Marital Trust:

  26. .TX3 *** TRUSTS - WITHDRAWALS FOR HOME MORTGAGE PAYMENT OPTION ***

  28. ({#SUB_PARA2})  To withdraw at any time or from time to time 
  29. an amount sufficient to pay the monthly or other periodic 
  30. installment payments on the then outstanding mortgage on the 
  31. home in which my {SPOUSE_HUSBAND/WIFE} and I reside at my death, 
  32. or, if my {SPOUSE_HUSBAND/WIFE} shall so choose, an amount 
  33. sufficient to prepay all or part of such mortgage.

  35. .TX4 *** TRUSTS - WITHDRAWALS OF MAXIMUM AMOUNT ANNUALLY OPTION **

  37. ({#SUB_PARA2})  In each calendar year (including the year of my 
  38. death), to withdraw any amount which is not in excess of 
  39. {MAX_WITHDRAWAL}.  This right of withdrawal shall be noncumulative, 
  40. and if not exercised in any calendar year, shall lapse for that 
  41. year.

  43. .TX5 *** TRUSTS - WITHDRAWALS BY SPOUSE UNLIMITED OPTION *********

  45. ({#SUB_PARA2})  To withdraw such sums as my {SPOUSE_HUSBAND/WIFE} 
  46. shall request at any time during {SPOUSE_HIS/HER} lifetime, even 
  47. to the exhaustion of the Marital Trust.

  49. .TX6 *** TRUSTS - CLOSING PROVISIONS FOR OPTIONAL WITHDRAWALS ****
  50. The right of my {SPOUSE_HUSBAND/WIFE} to make these withdrawals shall 
  51. be exercised in each case by {SPOUSE_HIM/HER} notifying the Trustee 
  52. in writing to that effect, specifying the amount desired to be 
  53. withdrawn.  Within a reasonable time thereafter, the Trustee shall 
  54. make the distributions directly to my {SPOUSE_HUSBAND/WIFE}.
  55.  
  56. .TX7 *** TRUSTS - LIFE ESTATE /W POWER MARITAL TRUST TERMINATION *
  57. ({!PARNO}) Termination of Marital Trust.  Upon the death of my 
  58. {SPOUSE_HUSBAND/WIFE}, the Trustee shall distribute the remaining 
  59. principal and undistributed income to and among those persons, 
  60. corporations, trusts, or estates (including the estate of my 
  61. {SPOUSE_HUSBAND/WIFE}) whom my {SPOUSE_HUSBAND/WIFE} shall 
  62. appoint by Will.  My {SPOUSE_HUSBAND/WIFE} shall be regarded as 
  63. having so appointed this Trust property only in the event that 
  64. {SPOUSE_HIS/HER} Will refers specifically to this power of 
  65. appointment.  To the extent that my {SPOUSE_HUSBAND/WIFE} shall 
  66. fail to exercise the foregoing power of appointment, the then 
  67. remaining principal of the Marital Trust and any undistributed 
  68. income shall be disposed of as follows:

  71. (A)  The Trustee may distribute from the Marital Trust to the 
  72. Executor or Administrator of my {SPOUSE_HUSBAND/WIFE}'s estate 
  73. any amount of the remaining undistributed income or principal 
  74. (even to the exhaustion thereof) to pay any legally enforceable 
  75. debts (excluding debts secured by real estate) and funeral 
  76. expenses of my {SPOUSE_HUSBAND/WIFE}, the expenses of the 
  77. administration of {SPOUSE_HIS/HER} estate, and federal estate 
  78. and state inheritance taxes which may be due because of the 
  79. death of my {SPOUSE_HUSBAND/WIFE}.  The Trustee shall not be 
  80. responsible for the application of the amounts distributed to 
  81. such Executor or Administrator.
  82.  
  83. (B)  The assets remaining in the Marital Trust after any 
  84. distributions are made by the Trustee pursuant to the above 
  85. paragraph (a) shall be added to and become part of the principal 
  86. of the Family Trust as if originally a part thereof, to be 
  87. continued in trust or distributed as provided in this Will.
  88.  
  89. .TX8 *** TRUSTS - QUALIFIED TERMINABLE INTEREST PPTY TERMINATION *
  90. ({!PARNO})  Termination of Marital Trust.  The Marital Trust shall 
  91. terminate upon the death of my {SPOUSE_HUSBAND/WIFE}.  The Trustee 
  92. shall then make the following final distributions from the Marital 
  93. Trust:

  96. (A)  To my {SPOUSE_HUSBAND/WIFE}'s estate, any undistributed 
  97. net income of the Marital Trust determined as of the date of my 
  98. {SPOUSE_HUSBAND/WIFE}'s death.
  99.  
  100. (B)  To my {SPOUSE_HUSBAND/WIFE}'s estate, unless my 
  101. {SPOUSE_HUSBAND/WIFE} in {SPOUSE_HIS/HER} Will expressly directs 
  102. that the following distribution not be made, an amount judged by 
  103. the Trustee to be approximately equal to the incremental federal 
  104. estate and state death tax liability (including any interest or 
  105. penalties) attributable to the inclusion of the Marital Trust in 
  106. my {SPOUSE_HUSBAND/WIFE}'s gross estate (or corresponding 
  107. designation for state tax purposes).  The Trustee shall have the 
  108. sole and absolute discretion to determine the amount of this 
  109. distribution and to select the assets, if any, to be sold to 
  110. make the distribution.  The Trustee shall not be responsible for 
  111. the application of the amount distributed to my 
  112. {SPOUSE_HUSBAND/WIFE}'s Executor or Administrator.

  114. .TX9 *** TRUSTS - PAYMENT OF SPOUSE'S DEBTS & EXPENSES OPTION ****

  116. (C)  In the Trustee's sole discretion, the final distributions 
  117. from the Marital Trust may include any amount of the remaining 
  118. principal of such trust (even to the exhaustion thereof) to pay 
  119. any legally enforceable debts (excluding debts on real estate) 
  120. and funeral expenses of my {SPOUSE_HUSBAND/WIFE} and the expenses 
  121. of the administration of {SPOUSE_HIS/HER} estate.

  123. .TX10 *** TRUSTS - CLOSING FOR QTIP MARITAL TRUST TERMINATION ****
  124. The assets remaining in the Marital Trust after the above 
  125. distributions shall be added to and become part of the principal 
  126. of the Family Trust as if originally a part thereof, to be continued 
  127. in trust or distributed as provided in this Will.
